Terms of Service

1. Acceptance of Terms

By accessing or using Pivoteer ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and Pivoteer.

2. Description of Service

Pivoteer is a web-based project management platform for engineering teams, providing dashboards, systems tracking, Gantt scheduling, and collaboration tools.

3. Beta Disclaimer

The Service is currently in beta. This means:

• The Service is provided "as is" and may contain bugs, errors, or incomplete features
• Features, pricing, and functionality may change significantly without notice
• Data entered during beta may be subject to loss — you should not rely on the Service as your sole data store
• Pivoteer is under no obligation to release a final version or maintain any specific feature
• The beta may be discontinued at any time without notice or obligation

4. Eligibility

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.

5. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your login credentials and for all activity under your account. Notify us immediately at support@pivoteer.ca if you suspect unauthorized access.

6. Acceptable Use

You agree not to:

• Use the Service for illegal purposes or in violation of any applicable law
• Attempt unauthorized access to the Service or its infrastructure
• Upload malware, viruses, or malicious code
• Disrupt or interfere with the Service or its servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated means to access the Service without permission
• Store or transmit infringing, defamatory, or unlawful content

7. Your Data

You retain full ownership of all content and data you create within the Service. We claim no intellectual property rights over your content. We use your data solely to provide and operate the Service as described in our Privacy Policy. We may use anonymized, aggregated data (which cannot identify you) to improve the Service.

8. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is owned by Pivoteer and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.

9. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Pivoteer an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution.

10. Pricing and Payment

The Free plan has usage limits. The Pro plan requires a paid subscription processed through Stripe. Prices may change with 30 days notice. You are responsible for any applicable taxes. All fees are non-refundable except as required by law.

11. Cancellation

You may cancel your Pro subscription at any time. Your account will revert to the Free plan at the end of the current billing period. Your data will be preserved.

12. Termination

Either party may terminate this agreement at any time. You may terminate by deleting your account. We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ends immediately. You may request an export of your data within 30 days of termination by contacting support@pivoteer.ca. After 30 days, your data will be permanently deleted.

13. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Pivoteer does not warrant that the Service will be uninterrupted, error-free, or secure.

14. Limitation of Liability

To the maximum extent permitted by law, Pivoteer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater.

15. Third-Party Services

The Service integrates with third-party providers (including Supabase, Stripe, and Cloudflare). Pivoteer is not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their own terms and policies.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Alberta, Canada.

17. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. For material changes, we will notify you by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pivoteer.
• No waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. Pivoteer may assign its rights without restriction.
• Force majeure: Pivoteer is not liable for failures caused by circumstances beyond our reasonable control.
